Contract professionals, lawyers, risk managers, and contractors—if you review contracts, you know how time-consuming it can be to locate insurance and risk-related provisions. Here’s a simple, efficient way to speed up your review process.
Use CTRL+F to Quickly Locate Key Terms
Instead of manually scanning lengthy agreements, use the CTRL+F search function to find these critical terms:
- Insurance – Directly points to insurance requirements.
- Liability – Often tied to indemnity and risk allocation.
- Sole – Helps locate “sole negligence” clauses.
- Indemn – Captures indemnification terms (indemnify, indemnity, indemnitor, etc.).
- Risk – Flags provisions related to risk allocation, such as risk of loss.
- Builder – Useful for finding Builder’s Risk Insurance requirements.
- Majeure & God – Helps locate force majeure and acts of God provisions.
- Jurisdiction & Law – Key for identifying choice of law clauses.
- Limitation of Liability – Critical for understanding liability caps.
- Consequential – Catches waiver of consequential damages.
- Definitions – Watch out for defined terms (such as "Claims") used in the insurance requirements. The terms may be defined much more broadly than insurance policies can possibly cover. If so, change the term. For example, change "Claims" to "claims" in the insurance requirements.
Keep Insurance Requirements in One Section
If you’re drafting contracts, avoid scattering insurance requirements throughout multiple sections. Why?
- Easier to Find & Review – Reviewing a contract is already time-consuming. A single, centralized section makes it easier for all parties.
- Reduces Compliance Risks – Downstream parties (e.g., contractors) may assume they’ve met the requirements after reviewing one section—only to miss additional scattered provisions. This can lead to breach of contract or uninsured losses—a risk for both parties.
Make Contract Review Faster & More Effective
Many professionals are stretched thin trying to get through their contract workload. By keeping insurance provisions in one section and using smart search strategies, you’ll save time, reduce compliance risks, and make contract reviews far more efficient.
